General Terms and Conditions Updated April 2026

The terms used in these General Terms and Conditions (hereafter "GTC") and beginning with a capital letter, whether used in the singular or plural, shall have the meanings given below:

• Account: the personal account of the Subscriber created on CREATIVES' TOOL.
• Billing Data: the billing information available on CREATIVES' TOOL and processed by NV IMAGE and its processors for the management of electronic invoicing in compliance with applicable regulations.
• Client: the Subscriber's client or the intermediary of such client to whom the Documents are addressed.
• CREATIVES' TOOL: the SaaS (Software as a Service) platform accessible at the following URL: creativestool.com, intended for professionals in the visual creative industries.
• Documents: the Subscriber's quotes and invoices (including all information contained therein) created, issued, modified and/or imported into CREATIVES' TOOL.
• NV IMAGE: the company NV IMAGE, registered with the Paris Trade and Companies Register under number 932351570 and located at 41 rue du Disque, 75013 Paris, which owns CREATIVES' TOOL and provides the Services, with intra-community VAT number FR67932351570.
• Parties: collectively or individually the Subscriber and NV IMAGE.
• Services: the services offered on CREATIVES' TOOL, as described in Article 4 hereof.
• Statistical Data: the information derived from the Documents and processed by NV IMAGE for the training of CREATIVES' TOOL algorithm, which will enable, in the future, the provision to the Subscriber of a service offering pricing indicators and statistics, as described in Article 5 hereof.
• Subscriber: any legal entity or natural person who has subscribed to a contract with NV IMAGE and thereby benefits from the Services in the course of their professional activity and operates in Germany, Austria, Belgium, Canada, Denmark, Spain, United States, France, Netherlands, United Kingdom and Switzerland, excluding any natural person or legal entity designated as a consumer or non-professional within the meaning of French consumer law (i.e., persons acting for purposes outside their commercial, industrial, artisanal, liberal, agricultural or professional activity). Subscribers domiciled in France or Belgium are referred to as "FR/BE Subscribers".
• Subscription: the contract entered between NV IMAGE and the Subscriber to enable the latter to benefit from the Services offered by CREATIVES' TOOL for the duration specified in Article 6.

The GTC intend to govern the provision of Services to Subscribers on CREATIVES' TOOL and to set out the conditions for entering into a Subscription.

These GTC are enforceable against the Subscriber, who acknowledges having read and having expressly accepted them without reservation upon entering into a Subscription on CREATIVES' TOOL.

CONSEQUENTLY, ANY SUBSCRIPTION TO CREATIVES' TOOL IMPLIES THE SUBSCRIBER'S FULL AND UNCONDITIONAL ACCEPTANCE OF THESE GTC.

The applicable GTC are those in force at the time of entering into a Subscription.

CREATIVES' TOOL is a SaaS platform intended for professionals in the visual creative industries (including visual arts, design, photography, video, styling, content creation, digital). CREATIVES' TOOL enables the creation, management and issuance of quotes and invoices in compliance with applicable electronic invoicing regulations in countries where such regulations apply, namely France and Belgium.

For FR/BE Subscribers subject to such electronic invoicing regulations, CREATIVES' TOOL is interfaced through API with IOPOLE, a platform approved by the French tax authority (DGFiP) under number 0018 to provide e-invoicing and e-reporting functionalities. For more information about IOPOLE, NV IMAGE invites the FR/BE Subscriber to consult IOPOLE's website available at the following address: iopole.com.

CREATIVES' TOOL provides Subscribers with Services dedicated to the management of their invoicing, including the following features:

• Creation of quotes and invoices. Except in the context of electronic invoicing Services provided to FR/BE Subscribers, CREATIVES' TOOL does not handle the issuance of the Subscriber's quotes and invoices to their Clients. The issuance of Documents remains the sole liability of the Subscriber.
• Import of pre-existing invoices. The Subscriber may import pre-existing invoices or previously self-generated invoices to retain their invoicing history and ensure the continuity of their accounting data.
• Management of the Subscriber's Clients and Documents. CREATIVES' TOOL provides a Client directory and the creation of Client profiles grouping the Documents associated with each Client. Clients are identified based on the company name provided by the Subscriber. Documents bearing the same company name are associated to a single Client.

For FR/BE Subscribers, CREATIVES' TOOL provides Services dedicated to electronic invoicing, in compliance with applicable regulations, including:

• Issuance of invoices and, from September 1st, 2026, receipt of invoices. Invoices are subject to a validity check by IOPOLE.
• Transmission of transaction data to the tax authorities.
• Invoices consultation. FR/BE Subscribers may view all their invoices, whether issued or received through CREATIVES' TOOL, and track their status (draft, sent, paid).

More generally, NV IMAGE provides all functionalities expected from a certified platform under the applicable electronic invoicing regulations. CREATIVES' TOOL thus enables FR/BE Subscribers to issue, transmit and receive electronic invoices both within the French system governed by the French Tax Authority (DGFiP), and within cross-border exchanges under the PEPPOL Network, in compliance with European standard EN 16931.

To use the electronic invoicing tool, the identity of the FR/BE Subscriber must be verified in accordance with applicable regulations, prior to using the Services, to be registered in the directory. Failing such identification, the Subscriber will not be able to benefit from said Services.

The Service does not include a legal document archiving service certified as compliant with AFNOR standard NF 461. The Subscriber shall be solely liable for the backup of its Documents and Billing Data.

In order to provide, in the near future, a service offering pricing indicators and statistics to Subscribers, CREATIVES' TOOL processes Statistical Data derived from Subscribers' Documents, namely: data relating to the Subscriber's professional activity and years of experience, the Subscriber's Client name, the Subscriber's remuneration (including daily fee and prep day fee), the type of assignment invoiced by the Subscriber, as well as the place of performance of the assignment. The Statistical Data is processed in order to be anonymised by CREATIVES' TOOL and to provide the associated Service.

Entering into a Subscription constitutes the Subscriber's express and irrevocable authorization, free of charge, granted to NV IMAGE to analyse, process, aggregate and anonymise the Statistical Data contained in its Documents, by any technical process whether known or unknown to date, for the purpose of training the CREATIVES' TOOL algorithm to provide pricing indicators and statistics.

The Parties acknowledge that the Statistical Data may have economic value and constitute a trade secret for the Subscriber. Notwithstanding such qualification, the Subscriber authorizes NV IMAGE to use its Statistical Data under the conditions set out herein and thereby waives any right to assert any claim against NV IMAGE in this respect.

The Subscriber warrants to NV IMAGE that it holds all necessary rights and authorizations required for NV IMAGE to use the Statistical Data in the context of providing the pricing indicators and statistics Services.

NV IMAGE undertakes, through CREATIVES' TOOL, to implement anonymisation processes for the Statistical Data so that no natural or legal person, no Subscriber and no Client may be directly or indirectly identified in the context of the associated Service, which provides aggregated data only.

6.1. Conditions for entering into a Subscription

Any Subscriber must have the legal capacity to accept these GTC.

To enter into a Subscription and benefit from the Services, the Subscriber must create an Account on CREATIVES' TOOL by providing the required information. The Subscriber is liable for the information provided in this context and thereby warrants NV IMAGE that the said information is complete, accurate and up to date. For further information regarding the personal data processed by NV IMAGE, please refer to the Privacy Policy available at the following link: Privacy Policy.

The email address and password provided by the Subscriber when creating their Account constitute their login credentials (the "Credentials"). Each Subscriber is liable for maintaining the confidentiality of their Credentials used to log into their Account and is solely liable for all activities carried out under their Credentials. The Subscriber undertakes to immediately notify NV IMAGE of any unauthorized access to their Account.

Each Subscriber holds only one single Account on CREATIVES' TOOL.

6.2. Conclusion of the Subscription

Entering into a Subscription is subject to the payment of a one-time registration fee by the Subscriber. The price of the registration fee displayed on the CREATIVES' TOOL website is fixed, non-negotiable, and stated in euros excluding tax. Payment of the registration fee is made by bank payment through the STRIPE payment system available on the CREATIVES' TOOL platform.

The Subscription shall be deemed firm and final upon payment of said registration fee by the Subscriber. A confirmation email will be sent by NV IMAGE to the Subscriber upon completion of the subscription.

6.3. Duration and end of the Subscription

The Subscription is entered into for a fixed term from the date of subscription until December 31st, 2026.

At the end of this period, any Subscriber wishing to continue benefiting from CREATIVES' TOOL's Services must subscribe to a new subscription, which will then be subject to monthly payments, with pricing depending on the offer selected by the Subscriber.

The Subscriber may terminate their Subscription, subject to a notice period of fifteen (15) days prior to its expiry date, directly on the CREATIVES' TOOL website or by email addressed to CREATIVES' TOOL at the following address: contact@creativestool.com. In the event of early termination initiated by the Subscriber, no refund will be made by CREATIVES TOOL to the Subscriber.

NV IMAGE will send the Subscriber confirmation of termination within a reasonable timeframe from the Subscriber's notification and will inform them of the date and effects of the termination.

In the event of termination of the Subscription, the Subscriber shall in no circumstances be entitled to request the return of their Statistical Data used for training NV IMAGE's algorithm, in accordance with Article 5 hereof, as the anonymisation process is irreversible.

The Subscriber undertakes to provide and verify all Billing Data necessary for the proper performance of the Services, in particular the electronic invoicing Service provided to FR/BE Subscribers.

The Subscriber remains solely liable for the validity of the Billing Data submitted and for keeping it regularly updated, as well as for the content of its Documents. Accordingly, the Subscriber acknowledges and agrees that it is solely liable for its data and Documents and bears full liability with respect to their nature, content, quality, accuracy, reliability, integrity, relevance, lawfulness and archiving in accordance with applicable regulations.

More generally, the Subscriber is solely responsible for its use of CREATIVES' TOOL and undertakes to (i) comply with these GTC and the Terms of Use of the platform ("ToU") and (ii) comply with all obligations applicable to it in the context of its professional activity, in particular with respect to invoicing regulations.

The Subscriber shall indemnify and hold NV IMAGE harmless against any claim, action, proceeding or judgment arising from the use of the Services or the Documents, and shall compensate NV IMAGE for any losses, costs and expenses that may result therefrom.

In the event of a breach of its obligations, NV IMAGE reserves the right to suspend access to the Subscriber's Account and to the Services, or to terminate the Subscriber's Subscription, in accordance with Article 10. In the event of an Account suspension or Subscription termination due to a breach by the Subscriber to its contractual obligations, NV IMAGE shall under no circumstances be held liable for any damage, loss (including any loss of data or profits) or other consequence that the Subscriber may suffer as a result of the suspension of the Account or the termination of its Subscription.

8.1. Obligations

As a general rule, NV IMAGE is bound by a best-efforts obligation towards Subscribers in the provision of the Services.

8.2. Liability

The Subscriber expressly agrees that NV IMAGE shall not be held liable for any indirect damages. The Parties agree to consider the following events as indirect damage: purely financial losses, loss of opportunity, loss of profits, loss of use, loss of anticipated savings, loss of revenue, loss of business or production, and loss of data.

The Subscriber remains solely liable for determining its prices, its commercial decisions, and the economic, financial or commercial consequences arising from the use of the CREATIVES' TOOL Services. The Subscriber remains solely liable for the accuracy, completeness or relevance of the Documents and Billing Data it provides to CREATIVES' TOOL. Accordingly, the Subscriber shall hold NV IMAGE harmless from any proceedings, claims or judgments relating to such Documents or Billing data.

Furthermore, the Subscriber is informed that CREATIVES' TOOL is only accessible via communication networks beyond NV IMAGE's control (Internet, GSM, IOPOLE IT services). NV IMAGE shall not be held liable for any interruptions or malfunctions resulting from the unavailability, failure or technical maintenance of communication networks beyond its control, or from a force majeure event.

In addition, the Subscriber acknowledges that NV IMAGE reserves the right to suspend, limit or interrupt the availability of CREATIVES' TOOL in order to carry out updates or scheduled maintenance necessary for its proper functioning, or any other action deemed necessary for the development and operation of CREATIVES' TOOL, without NV IMAGE being held liable for any consequences that may result therefrom.

Moreover, the Subscriber acknowledges that CREATIVES' TOOL may contain errors and bugs, which may in particular result in its total or partial unavailability or malfunction for a limited period, without NV IMAGE's being held liable on this basis.

Finally, NV IMAGE shall not be liable for:

• Any use of CREATIVES' TOOL by the Subscriber that is contrary to public policy or morality, to these GTC or to the ToU of CREATIVES' TOOL,
• Acts committed by third parties beyond its control, or facts directly attributable to the Subscriber,
• Acts/damages suffered by the Subscriber or its Clients and caused by a force majeure event or an external event beyond NV IMAGE's control,
• Acts that have caused indirect or unforeseeable damages to the Subscriber or its Clients.

In any event, NV IMAGE's total liability in connection with the performance hereof shall not exceed, regardless of the cause, an amount equivalent to ten (10) times the price paid by the Subscriber in respect of the Subscription registration fee.

8.3. Dependency on IOPOLE for FR/BE Subscribers

FR/BE Subscriber expressly acknowledges that the electronic invoicing Services provided by CREATIVES' TOOL rely on the technical integration of services developed and operated by a third-party provider, namely the company IOPOLE.

The FR/BE Subscriber is fully informed that the proper functioning of CREATIVES' TOOL directly depends on the availability and continuity of IOPOLE's services. Accordingly, NV IMAGE shall not be held liable, on any grounds whatsoever, for any damages, liabilities or losses (including, in particular, any loss of Documents) or consequences that the Subscriber may suffer as a result of any suspension, limitation, malfunction, modification or termination of access to all or part of the IOPOLE solution, regardless of the cause, including changes in commercial policy, technical interruption, or removal of APIs.

The FR/BE Subscriber acknowledges and accepts the risks inherent in this technical and functional dependency and undertakes, where applicable, to take all necessary measures to adapt to any changes or interruptions of the IOPOLE solution's services.

Subject to compliance with these GTC, NV IMAGE grants the Subscriber a personal, non-exclusive and non-transferable right to use CREATIVES' TOOL for the duration of the Subscription and worldwide, solely for the purposes of its professional activity, in accordance with the purpose of these GTC.

The Subscriber expressly acknowledges that it is not authorized to sublicense the present license to any third party.

The Subscriber acknowledges that the present license grants it a right of use only, which does not authorize it in any way to take any steps to protect, register or file in its own name any intellectual property right (patent, copyright, design, trademark, etc.) relating to CREATIVES' TOOL, and more generally, to any intellectual property elements owned by NV IMAGE.

The Subscriber is informed that the present license does not include the archiving of its Documents, for which it bears sole and full liability under applicable regulations.

In the event of a breach by the Subscriber of its obligations hereunder, NV IMAGE reserves the right to suspend access to the Subscriber's Account or to terminate these GTC.

In particular, the following shall constitute a breach:

• The Subscriber's failure to comply with the Intellectual Property clause,
• Any damage to the image or interests of NV IMAGE.

In the event of suspension of the Account or termination of the Subscription due to a breach by the Subscriber of its contractual obligations, NV IMAGE shall under no circumstances be held liable for any damage, loss (including any loss of data or profits) or any consequence that the Subscriber may suffer as a result of such suspension or termination.

Furthermore, in the event of a suspension of the Subscriber's Account or termination of the GTC, for whatever reason, the Subscriber shall under no circumstances request the return of its Statistical Data used for the training of NV IMAGE's algorithm, in accordance with Article 5 hereof, the anonymisation having been carried out on an irrevocable basis.

Upon expiry of the Subscription, it is the Subscriber's sole liability to ensure the proper retention and recovery of its Documents using the functionalities provided for this purpose on CREATIVES' TOOL.

NV IMAGE does not intervene in reversibility operations and assumes no liability in this regard. However, upon the Subscriber's request, NV IMAGE may provide assistance to enable the export of Documents in CSV or PDF format, subject to additional fees based on a prior quotation.

12.1. Controller

NV IMAGE may act as controller, or joint controller together with IOPOLE for the processing of FR/BE Subscribers' personal data, for certain processing activities indicated in NV IMAGE's Privacy Policy accessible at the following link: Privacy Policy.

In this regard, NV IMAGE informs Subscribers that the processing of their Statistical Data is carried out for the following purpose and on the following legal basis:

• Purpose: To train the CREATIVES' TOOL algorithm to provide Subscribers, in the future, with a service offering pricing indicators and statistics,
• Legal basis: NV IMAGE's legitimate interest in training its algorithm to provide Subscribers such a service.

12.2. Processor

In the context of the Subscriber's use of CREATIVES' TOOL, NV IMAGE also processes personal data relating to the Subscriber and, where applicable, its Clients, provided within the Documents (hereinafter the "Subscriber & Client Personal Data"), acting as a processor on behalf of the Subscriber within the meaning of Article 28 of the GDPR, for the following processing activities: hosting, storage, access to or modification of the Documents, excluding processing activities relating to the management of electronic invoicing for FR/BE Subscribers, for which NV IMAGE and IOPOLE act as joint controllers.

Consequently, NV IMAGE:

• processes the Subscriber & Client Personal Data only on documented instructions from the Subscriber, including with regard to transfers of personal data to a third country or an international organization, unless required to do so by Union or Member State law to which the processor is subject; in such a case, NV IMAGE shall inform the Subscriber of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest;
• ensures that persons authorized to process the Subscriber & Client Personal Data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality;
• takes all measures required pursuant to Article 32;
• respects the conditions referred to in paragraphs 2 and 4 for engaging another processor;

In this regard, FR/BE Subscribers are informed that CREATIVES' TOOL is interfaced, through an API, with the IOPOLE solution, registered as a certified platform by the French tax authorities for electronic invoicing, under number 0018. The FR/BE Subscriber is informed that the IOPOLE solution is certified compliant with the ISO 27001 standard and hosted in France on an infrastructure certified SecNumCloud. The company IOPOLE acts as a processor on behalf of NV IMAGE in the context of certain processing activities involving Subscriber & Client Personal Data, including the hosting and storage of Subscriber & Client Personal Data. NV IMAGE guarantees to the FR/BE Subscriber that IOPOLE is subject to the same obligations regarding the protection of personal data as those set out herein. Upon request by the FR/BE Subscriber, NV IMAGE may provide the DPA concluded with IOPOLE. Accordingly, by entering into a Subscription, the FR/BE Subscriber authorizes NV IMAGE to rely on the services of IOPOLE in the context with provision of CREATIVES' TOOL.

• taking into account the nature of the processing, assists the Subscriber by appropriate technical and organisational measures, insofar as this is possible, for the fulfilment of the controller's obligation to respond to requests for exercising the data subject's rights laid down in Chapter III;
• assists the Subscriber in ensuring compliance with the obligations pursuant to Articles 32 to 36 taking into account the nature of processing and the information available to NV IMAGE;
• at the choice of the Subscriber, deletes or returns all the Subscriber & Client Personal Data to the Subscriber after the end of the Subscription, and deletes existing copies unless Union or Member State law requires storage of the personal data;
• makes available to the Subscriber all information necessary to demonstrate compliance with the obligations laid down in this Article and allow for and contribute to audits, including inspections, conducted by the Subscriber or another auditor mandated by them.

The Subscriber is informed that, in the context of the hosting of CREATIVES' TOOL, Subscriber & Client Personal Data may be transferred outside the European Union through its hosting service providers. Where applicable, such transfers are governed by an adequacy decision, standard contractual clauses adopted by the European Commission, or binding corporate rules approved by the competent supervisory authorities.

Any circumstances beyond the control of the Parties preventing the performance of their obligations under normal conditions shall be considered as grounds for exemption from liability for each Party and shall result in the suspension of their obligations.

The Party invoking such circumstances must immediately notify the other Party of their occurrence, as well as of their cessation.

Shall be considered as events of force majeure any facts or circumstances that are irresistible, external to the Parties, unforeseeable, unavoidable, independent of the Parties' will, and which cannot be prevented by them despite all reasonably possible efforts. The following are expressly considered, in particular, as events of force majeure: blockage of means of transport or supply, earthquakes, fires, storms, floods, lightning strikes, disruption of telecommunications networks or difficulties specific to telecommunications networks external to the Parties, fire in a data center, and pandemics.

In the first instance, the force majeure event shall suspend the performance of the Subscription and GTC.

If the force majeure event lasts for more than sixty (60) days, the Subscription and GTC may be terminated automatically, without any judicial formality, by either Party by written notice to the other Party.

14.1. Commercial references

The Parties mutually authorize each other to communicate and refer to their business relationship as a commercial reference on their respective websites and social media, including by using the other Party's logo or trademark.

14.2. Intuitu personae

The GTC are entered into intuitu personae. Therefore, the Subscriber shall under no circumstances assign, transfer or convey the GTC to any third party, on any grounds whatsoever, directly or indirectly, in whole or in part, whether for consideration or free of charge, without the prior express written consent of NV IMAGE. Failing this, NV IMAGE may terminate the GTC at the Subscriber's fault, without giving rise to any right to compensation for the Subscriber.

In the event of an authorized transfer, the Subscriber shall remain liable towards NV IMAGE for ensuring that the transferee complies with all rights and obligations arising from the GTC for the remaining duration of the Subscription.

14.3. Invalidity

Should any provisions of these GTC be declared invalid and void or become ineffective in whole or in part, such provisions shall be reinterpreted, supplemented or replaced so as to achieve the objective pursued by the said provision, without affecting the validity and enforceability of the remaining provisions.

14.4. Governing law & disputes

These GTC shall be governed by French law.

Any dispute arising from the formation, interpretation or performance of the GTC, for any reason whatsoever, shall first be subject to an attempt at conciliation between the Parties.

FAILING SUCH CONCILIATION, ANY DISPUTE BETWEEN THE PARTIES ARISING FROM THE FORMATION, INTERPRETATION, PERFORMANCE, TERMINATION OR EXPIRATION OF THESE TERMS SHALL BE BROUGHT BEFORE THE COMPETENT COURTS WITHIN THE JURISDICTION OF THE PARIS COURT OF APPEAL. HOWEVER, ANY USER QUALIFYING AS A CONSUMER WITHIN THE MEANING OF FRENCH CONSUMER LAW SHALL REMAIN ENTITLED TO BRING PROCEEDINGS BEFORE THE COURTS OF THEIR PLACE OF RESIDENCE.
