General Terms and Conditions Updated April 2026

The terms used in these general terms and conditions of sale ("GTC") and beginning with a capital letter, whether used in the singular or the plural, shall have the meaning given to them below.

• Subscription: means the contract entered into between NV IMAGE and the Subscriber to allow the latter to benefit from the Services offered by CREATIVES' TOOL for the term stipulated in Article 6.
• Subscriber: means the legal entity or natural person who has entered into a Subscription and thereby benefits from the Services in the course of their professional activity and operates in Germany, Austria, Belgium, Canada, Denmark, Spain, United States, France, Netherlands, United Kingdom and Switzerland, excluding any natural person or legal entity designated as a consumer or non-professional within the meaning of the French Consumer Code (namely persons acting for purposes outside their commercial, industrial, artisanal, liberal, agricultural or professional activity). Subscribers domiciled in France or Belgium are referred to as "FR/BE Subscribers".
• Client: means the Subscriber's client or the intermediary of that client for whom the Documents are intended.
• Account: means the Subscriber's personal account created on CREATIVES' TOOL.
• Documents: mean the Subscriber's quotes and invoices (including all the information appearing therein) created, issued, modified and/or imported on CREATIVES' TOOL relating to the Clients.
• Billing Data: mean the invoicing information available on CREATIVES' TOOL and processed by NV IMAGE and its processors for the management of electronic invoicing in accordance with the regulations in force.
• Statistical Data: mean the information derived from the Documents processed by NV IMAGE in order to train the algorithmics of CREATIVES' TOOL which will make it possible, in the future, to provide the Subscriber with the Service of supplying invoicing price indicators and statistics, as described in Article 5 hereof.
• CREATIVES' TOOL: means the invoicing management tool accessible at the following URL: creativestool.com.
• NV IMAGE: means the company NV IMAGE, registered with the Paris Trade and Companies Register under number 932351570 and domiciled at 41 rue du Disque 75013 Paris, which publishes CREATIVES' TOOL and provides the Services, whose intra-community VAT number is FR67932351570.
• Parties: mean together or individually the Subscriber and NV IMAGE.
• Services: mean the services offered on CREATIVES' TOOL, as described in Article 4 hereof.

The purpose of the GTC is to govern the provision of the Services to Subscribers on CREATIVES' TOOL and to set the conditions for entering into a Subscription.

These GTC are enforceable against the Subscriber, who acknowledges having read them and having expressly accepted them without reservation when entering into a Subscription to CREATIVES' TOOL.

CONSEQUENTLY, ANY SUBSCRIPTION TO CREATIVES' TOOL ENTAILS THE SUBSCRIBER'S FULL AND ENTIRE ACCEPTANCE OF THESE GTC.

The applicable GTC are those in force at the time of entering into a Subscription.

CREATIVES' TOOL is a SaaS (Software as a Service) platform accessible online, intended for professionals in the creative industries (in particular the fields of visual arts, design, photography, video, styling, content creation, digital). CREATIVES' TOOL notably enables the creation, management and issuance of quotes and invoices, in compliance with the applicable electronic invoicing regulations for the countries where those regulations apply, namely France and Belgium.

For FR/BE Subscribers subject to the electronic invoicing regulations, CREATIVES' TOOL is interfaced, by means of an API, with the solution of the company IOPOLE, registered as a platform approved by the tax authority (DGFiP) authorised to provide all the functionalities laid down for electronic invoicing for e-invoicing and e-reporting. For further information about IOPOLE, NV IMAGE invites the FR/BE Subscriber to consult IOPOLE's website accessible at this address: iopole.com.

CREATIVES' TOOL provides Subscribers with Services dedicated to the management of their invoicing and in particular the following functionalities:

• Creation of quotes and invoices. Except in the context of the electronic invoicing Services provided to FR/BE Subscribers, CREATIVES' TOOL does not carry out the issuance of the Subscriber's quotes and invoices to their Clients. The issuance of the Documents is the Subscriber's responsibility.
• Import of pre-existing invoices. The Subscriber has the possibility of importing their pre-existing invoices or former invoices generated independently in order to retain their invoicing history and to ensure the continuity of their accounting data.
• Management of the Subscriber's Clients and Documents. CREATIVES' TOOL offers a Client directory and the creation of Client records grouping the Documents associated with each Client. Clients are identified from the company name entered by the Subscriber. Documents bearing the same company name are attached to a single Client.

For FR/BE Subscribers, CREATIVES' TOOL provides Services dedicated to electronic invoicing, compliant with the regulations in force, namely:

• Issuance of invoices and, from September 1st, 2026, receipt of invoices. The invoices are subject to a validity check by IOPOLE.
• Transmission of transaction data to the tax authority.
• Consultation of invoices. The FR/BE Subscriber has the possibility of consulting all of their invoices, issued or received via CREATIVES' TOOL, and of tracking their status through the standard electronic invoice lifecycle, namely: submitted, issued, received, made available, rejected, unacceptable, in hand, approved, partially approved, dispute, suspended, completed, refused, payment sent, payment received.

Generally, NV IMAGE provides all the functionalities expected of an Approved Platform under the applicable electronic invoicing regulations. CREATIVES' TOOL thus allows FR/BE Subscribers to issue, transmit and receive electronic invoices both within the French system governed by the Directorate General of Public Finances (DGFiP) and within cross-border exchanges under the PEPPOL Network, in accordance with European standard EN 16931.

In order to use the electronic invoicing tool, the identity of the FR/BE Subscriber must undergo an identity verification compliant with the applicable regulations, prior to the use of the Services, in order to be registered in the directory. Failing identification, the Subscriber will not be able to benefit from the said Services.

The Service does not include a legal archiving service for the Documents certified as compliant with AFNOR standard NF 461. The Subscriber shall be personally responsible for any backup of their Documents and Billing Data.

In order to provide its Subscribers in the near future with a Service of supplying invoicing price indicators and statistics, CREATIVES' TOOL processes the Statistical Data derived from Subscribers' Documents, namely: the data relating to the Subscriber's professional activity and years of experience, the name of the Subscriber's Client, the Subscriber's remuneration (namely the daily fee and prep day fee), the type of assignment invoiced by the Subscriber, as well as the place of performance of the assignment. This Statistical Data is processed in order to be anonymised by CREATIVES' TOOL and to provide the associated Service.

Entering into a Subscription entails the Subscriber's express and irrevocable authorisation, free of charge, granted to NV IMAGE to analyse, process, aggregate and anonymise the Statistical Data appearing in their Documents, by any technical process known or unknown to date, in order to train the CREATIVES' TOOL algorithm to establish price indicators and statistics.

The Parties acknowledge that the Statistical Data may have economic value and constitute a trade secret for the Subscriber. Notwithstanding that qualification, the Subscriber authorises NV IMAGE to exploit their Statistical Data under the conditions defined herein and thereby waives any right against NV IMAGE.

The Subscriber declares and warrants to NV IMAGE that they hold all the rights and authorisations necessary for the exploitation of the Statistical Data by NV IMAGE in the context of the provision of the invoicing price indicators and statistics Services.

NV IMAGE undertakes, via CREATIVES' TOOL, to implement anonymisation processes for the Statistical Data such that no natural or legal person, no Subscriber and no Client may be identified directly or indirectly in the context of the associated Service, which supplies aggregated data only.

6.1. Conditions for entering into a Subscription

Any Subscriber must have the capacity to accept the GTC.

In order to enter into a Subscription and benefit from the Services, the Subscriber must necessarily create an Account on CREATIVES' TOOL by providing the required information. The Subscriber is responsible for the information they provide in this respect and thereby warrants to NV IMAGE that the information entered is complete, accurate and up to date. For further information concerning the personal data processed by NV IMAGE, see the Privacy Policy.

The email address and the password entered by the Subscriber when creating their Account constitute their credentials (the "Credentials"). Each Subscriber is responsible for the confidentiality of the login Credentials they use to connect to their Account and is solely responsible for all the activities carried out under their Credentials. The Subscriber undertakes to notify NV IMAGE immediately of any unlawful access to their Account.

Each Subscriber holds one single Account on CREATIVES' TOOL.

6.2. Conclusion of the Subscription

Entering into a Subscription is subject to the payment, in a single instalment, of registration fees by the Subscriber. The price of the registration fees displayed on the CREATIVES' TOOL site is firm, non-negotiable, and stated in euros excluding tax. Payment of the registration fees is made by bank payment via the STRIPE payment system offered on the CREATIVES' TOOL site.

Entering into a Subscription is deemed firm and final upon payment of the said registration fees by the Subscriber. A confirmation email is sent by NV IMAGE to the Subscriber at the end of that subscription.

6.3. Term and end of the Subscription

The Subscription is entered into for a firm term from the date of subscription until December 31st, 2026.

At the end of that period, the Subscriber wishing to continue to benefit from the Services of CREATIVES' TOOL will have to enter into a new subscription, which will then be payable in monthly instalments, the price of which will vary according to the plan chosen by the Subscriber.

In the event of termination of the Subscription, the Subscriber may under no circumstances request the return of their Statistical Data used to train NV IMAGE's algorithm, in accordance with Article 5 hereof, the anonymisation having been carried out on an irrevocable basis.

The Subscriber undertakes to communicate and to verify all the Billing Data necessary for the proper performance of the Services, and in particular of the electronic invoicing Service as regards FR/BE Subscribers.

The Subscriber remains responsible for the validity of the Billing Data transmitted and for its regular updating, as well as for the content of their Documents. Accordingly, the Subscriber acknowledges and accepts being solely responsible for their data and Documents and assumes, in this respect, full responsibility as to their nature, content, quality, accuracy, reliability, integrity, relevance, lawfulness and archiving in accordance with the applicable regulations.

Generally, the Subscriber alone assumes responsibility for the use they make of CREATIVES' TOOL and undertakes to (i) comply with these GTC and with the General Terms of Use ("ToU") and (ii) comply with all the obligations incumbent upon them in the course of their professional activity, in particular with regard to invoicing regulations.

The Subscriber indemnifies NV IMAGE against any claim, action, recourse or judgment resulting from the use of the Services or of the Documents, and shall compensate NV IMAGE for all the losses, fees and costs that may result therefrom.

In the event of failure to comply with their obligations, NV IMAGE reserves the right to suspend access to the Subscriber's Account as well as to the Services, or to terminate the Subscriber's Subscription, in accordance with Article 10. In the event of suspension of the Account or termination of the Subscription for the Subscriber's breach of their contractual obligations, NV IMAGE's liability may under no circumstances be engaged for any damage, loss (including any loss of data or of profits) or other consequence that the Subscriber might suffer as a result of the suspension of the Account or of the termination of their Subscription.

8.1. Obligations

Generally, NV IMAGE is bound by a best-efforts obligation towards Subscribers in the provision of the Services.

8.2. Liability

The Subscriber expressly agrees that NV IMAGE's liability may not be engaged for any indirect damage. The Parties agree to consider the following events as indirect damage: purely monetary losses, loss of earnings, loss of profits, loss of use, savings not achieved, loss of gains, of business or of production and loss of data.

The Subscriber remains solely responsible for the determination of their prices, for their commercial decisions, as well as for the economic, financial or commercial consequences resulting from the use of the CREATIVES' TOOL Service. The Subscriber remains solely responsible for the accuracy, completeness or relevance of the Documents and of the Billing Data they provide to CREATIVES' TOOL. Accordingly, the Subscriber holds NV IMAGE harmless from any proceedings, recourse or judgment relating to the said Documents or data.

Furthermore, the Subscriber is informed that CREATIVES' TOOL is accessible only via communication networks outside NV IMAGE's control (Internet, GSM, IOPOLE's IT services). Any unavailability due to those networks may not be taken into account in the availability percentage. NV IMAGE may not be held liable for interruptions or malfunctions linked to an unavailability, a failure or technical maintenance of communication networks outside its control, or to an event of force majeure.

In addition, the Subscriber acknowledges that NV IMAGE reserves the right to suspend, limit or interrupt the provision of CREATIVES' TOOL in order to carry out updates or scheduled maintenance necessary for the proper functioning of CREATIVES' TOOL, or any other action deemed necessary for the development and the functioning of CREATIVES' TOOL, without NV IMAGE being held liable for the consequences that might result therefrom.

Moreover, the Subscriber acknowledges that CREATIVES' TOOL is not free from errors and bugs, which may in particular cause its total or partial unavailability or its malfunction for a limited time, without its liability being engaged in this respect.

Finally, NV IMAGE shall not be liable for:

• A use of CREATIVES' TOOL by the Subscriber contrary to public policy or public morals, to these GTC or to the ToU of CREATIVES' TOOL;
• Acts committed by third parties over which it has no control, or facts directly attributable to the Subscriber;
• Acts/damage suffered by the Subscriber or their Clients and caused by an event of force majeure or an event external to NV IMAGE;
• Acts which have caused indirect or unforeseeable damage to the Subscriber or their Clients.

In any event, NV IMAGE's overall liability in respect of the performance hereof shall not exceed, whatever the cause, the amount equivalent to ten (10) times the price paid by the Subscriber in respect of the Subscription registration fees.

8.3. Dependency on IOPOLE for FR/BE Subscribers

The FR/BE Subscriber expressly acknowledges that the electronic invoicing Services provided by CREATIVES' TOOL rest on the technical integration of services developed and operated by a third-party publisher, namely the company IOPOLE.

The FR/BE Subscriber is fully informed that the proper functioning of CREATIVES' TOOL depends directly on the availability and the continuity of service of the company IOPOLE. Consequently, NV IMAGE may not be held liable, on any ground whatsoever, for the damage, liabilities, or losses (including, in particular, any loss of Documents) or the consequences that the Subscriber might suffer as a result of the suspension of service, limitation, malfunction, modification or removal of access to all or part of the IOPOLE solution, whatever the cause, in particular a change of commercial policy, technical interruption, removal of an API.

The FR/BE Subscriber acknowledges and accepts the risks inherent in this technical and functional dependency and undertakes, where appropriate, to take any measure necessary to adapt to any evolution or interruption of the services of the IOPOLE solution.

Subject to compliance herewith, NV IMAGE grants the Subscriber a personal, non-exclusive and non-transferable right to use CREATIVES' TOOL for the whole term of the Subscription and worldwide, solely for the needs relating to their professional activity, in accordance with the purpose of these GTC.

The Subscriber expressly acknowledges that they are not authorised to sub-license the present licence to use to a third party.

The Subscriber acknowledges that the present licence to use confers on them only a right of use which in no way authorises them to take steps aimed at protecting, registering or filing in their name any intellectual property title (patent, copyright, design, etc.) relating to CREATIVES' TOOL, and more generally, to the intellectual property elements held by NV IMAGE.

The Subscriber is informed that the present licence to use does not include the archiving of their Documents, for which they alone assume full responsibility under the applicable regulations.

In the event of the Subscriber's failure to comply with their obligations hereunder, NV IMAGE reserves the right to suspend access to the Subscriber's Account or to terminate the GTC.

The following shall in particular be considered a breach:

• The Subscriber's failure to comply with the Intellectual property article;
• Any prejudice to NV IMAGE's image or interests.

In the event of suspension of the Account or termination of the Subscription for the Subscriber's breach of their contractual obligations, NV IMAGE's liability may under no circumstances be engaged for any damage, loss (including any loss of data or of profits) or other consequence that the Subscriber might suffer as a result of the suspension of the Account or of the termination of their Subscription.

Furthermore, in the event of suspension of the Subscriber's Account or termination of the GTC, for whatever reason, the Subscriber may under no circumstances request the return of their Statistical Data used to train NV IMAGE's algorithm, in accordance with Article 5 hereof, the anonymisation having been carried out on an irrevocable basis.

At the end of the Subscription, it is for the Subscriber to ensure personally the proper retention and recovery of their Documents by means of the functionalities provided for that purpose on CREATIVES' TOOL.

NV IMAGE does not intervene in reversibility operations and assumes no liability in this respect. However, at the Subscriber's request, NV IMAGE may provide assistance in order to allow the export of the Documents in CSV or PDF format, subject to additional invoicing on the basis of a prior quotation.

12.1. Controller

NV IMAGE acts as controller, or joint controller with the company IOPOLE as regards the processing of the personal data of FR/BE Subscribers, for certain processing activities indicated in NV IMAGE's Privacy Policy.

In this respect, NV IMAGE informs Subscribers that the processing of their Statistical Data is carried out for the following purpose and on the following legal basis:

• Purpose: To train the CREATIVES' TOOL algorithm making it possible to offer Subscribers in the near future a service of supplying invoicing price indicators and statistics;
• Legal basis: NV IMAGE's legitimate interest in training its algorithm in order to offer in the near future a service of supplying invoicing price indicators and statistics.

12.2. Processing on behalf of the Subscriber

In the context of the Subscriber's use of CREATIVES' TOOL, NV IMAGE also carries out processing of the personal data of the Subscriber, and where applicable of their Clients, provided within the Documents (hereinafter the "Subscriber & Client Personal Data"), as processor of the Subscriber within the meaning of Article 28 of the GDPR, for the following processing: hosting, storage, access to or modification of the Documents, with the exception of the processing relating to the management of the electronic invoicing of FR/BE Subscribers, which is processing for which NV IMAGE and IOPOLE are joint controllers.

Consequently, NV IMAGE:

• a) processes the Subscriber & Client Personal Data only on documented instructions from the Subscriber, including with regard to transfers of personal data to a third country or to an international organisation, unless it is required to do so under Union law or the law of the Member State to which the processor is subject; in that case, NV IMAGE informs the Subscriber of that legal obligation before processing, unless the law concerned prohibits such information on important grounds of public interest;
• b) ensures that the persons authorised to process the Subscriber & Client Personal Data undertake to respect confidentiality or are subject to an appropriate statutory obligation of confidentiality;
• c) takes all the measures required pursuant to Article 32 of the GDPR;
• d) complies with the conditions referred to in paragraphs 2 and 4 of Article 28 of the GDPR for engaging another processor;

In this respect, FR/BE subscribers are informed that CREATIVES' TOOL is interfaced, by means of an API, with the solution of the company IOPOLE, registered as an Approved Platform by the tax authority for electronic invoicing, under number 0018. The FR/BE Subscriber is informed that the IOPOLE solution is certified compliant with the ISO 27001 standard and hosted in France on an infrastructure certified SecNumCloud. The company IOPOLE acts as processor of the company NV IMAGE in the context of certain processing of the Subscriber & Client Personal Data, in particular the hosting and the storage of the Subscriber & Client Personal Data. NV IMAGE guarantees to the FR/BE Subscriber that the company IOPOLE is subject to the same obligations regarding the protection of personal data as those set out herein. At the FR/BE Subscriber's request, NV IMAGE may communicate to them the DPA concluded with the company IOPOLE. Thus, by entering into a Subscription, the FR/BE Subscriber authorises NV IMAGE to have recourse to the services of the company IOPOLE in the context of the provision of the CREATIVES' TOOL tool.

• e) taking into account the nature of the processing, assists the Subscriber, by appropriate technical and organisational measures, insofar as possible, in discharging their obligation to respond to the requests made to them by data subjects with a view to exercising their rights laid down in Chapter III of the GDPR;
• f) assists the Subscriber in ensuring compliance with the obligations laid down in Articles 32 to 36 of the GDPR, taking into account the nature of the processing and the information available to NV IMAGE;
• g) at the Subscriber's choice, deletes all the Subscriber & Client Personal Data or returns it to the Subscriber at the end of the Subscription, and destroys the existing copies, unless Union law or the law of the Member State requires the retention of the personal data; and
• h) makes available to the Subscriber all the information necessary to demonstrate compliance with the obligations laid down in this article and to allow audits to be carried out, including inspections, by the Subscriber or another auditor mandated by them, and contributes to those audits. In this respect, NV IMAGE will inform the Subscriber if, in its view, an instruction constitutes an infringement of the data protection regulations.

The Subscriber is informed that, in the context of the hosting of CREATIVES' TOOL, the Subscriber & Client Personal Data may be transferred outside the European Union through its hosting providers. Where applicable, those transfers are governed by an adequacy decision, standard contractual clauses approved by the European Commission or binding corporate rules approved by the competent supervisory authorities.

All circumstances beyond the control of the Parties preventing the performance of their obligations under normal conditions are considered as grounds for exemption from each Party's obligations and entail their suspension.

The Party invoking the circumstances referred to above must immediately notify the other Party of their occurrence, as well as of their cessation.

All irresistible facts or circumstances, external to the Parties, unforeseeable, unavoidable, beyond the control of the Parties and which cannot be prevented by them despite all reasonably possible efforts, shall be considered as events of force majeure. Expressly, the following are considered in particular as events of force majeure or fortuitous events: the blocking of means of transport or of supplies, earthquakes, fires, storms, floods, lightning, the shutdown of telecommunications networks or difficulties specific to telecommunications networks external to the Parties, fire in a datacenter, pandemics.

In the first instance, the event of force majeure shall suspend the performance of the Subscription and of the GTC.

If the event of force majeure were to last more than sixty (60) days, the Subscription and the GTC may be terminated automatically, without judicial formality, by either Party by written notice to the other party.

14.1. Commercial references

The Parties mutually authorise each other to communicate and to refer to their commercial relations as a commercial reference on their website and social networks, including by using the other Party's logo or trademark.

14.2. Intuitu personae

The GTC are entered into intuitu personae. The Subscriber may therefore under no circumstances assign, transfer or convey the GTC to a third party, on any ground whatsoever, directly or indirectly, wholly or partly, for consideration or free of charge, without the express, prior and written consent of NV IMAGE. Failing this, the GTC could be terminated by NV IMAGE for breach by the Subscriber, without this giving rise to any right to compensation for the Subscriber.

In the event of an authorised transfer, the Subscriber shall remain guarantor, towards NV IMAGE, of the assignee's compliance with all the rights and obligations resulting from the GTC, for the remaining term of the Subscription.

14.3. Invalidity

If certain clauses of these GTC are declared void or become ineffective in whole or in part, those provisions shall be reinterpreted, supplemented or replaced so as to achieve the objective sought by the void or ineffective provision (without this affecting the validity and enforceability of the remaining clauses).

14.4. Governing law and competent courts

These GTC are subject to French law.

Any dispute arising from the formation, interpretation, performance or cessation of the GTC, for whatever reason, shall be the subject of an attempt at conciliation between the Parties.

FAILING CONCILIATION, ANY DISPUTE BETWEEN THE PARTIES ARISING FROM THE FORMATION, INTERPRETATION, PERFORMANCE, CESSATION OR TERMINATION OF THE GTC SHALL BE BROUGHT BEFORE THE COMPETENT COURT WITHIN THE JURISDICTION OF THE PARIS COURT OF APPEAL.
