Article 1 Definitions
The terms defined in our General Terms and Conditions available at the following link General Terms and Conditions shall apply to these terms.
In addition, the terms used in these Terms of Use (hereafter “ToU”) and beginning with a capital letter, whether used in the singular or plural, shall have the meanings given below:
- Account: the personal account of the Subscriber created on CREATIVES’ TOOL.
- CREATIVES’ TOOL: the SaaS (Software as a Service) platform accessible at the following URL: creativestool.com, intended for professionals in the visual creative industries.
- NV IMAGE: the company NV IMAGE, registered with the Paris Trade and Companies Register under number 932351570 and located at 41 rue du Disque, 75013 Paris, which owns CREATIVES’ TOOL and provides the Services, with intra-community VAT number FR67932351570.
- Parties: collectively or individually the User and NV IMAGE.
- Subscriber: any legal entity or natural person who has subscribed to a contract with NV IMAGE and thereby benefits from the Services in the course of their professional activity and operates in Germany, Austria, Belgium, Canada, Denmark, Spain, United States, France, Netherlands, United Kingdom and Switzerland, excluding any natural person or legal entity designated as a consumer or non-professional within the meaning of French consumer law (i.e., persons acting for purposes outside their commercial, industrial, artisanal, liberal, agricultural or professional activity). Subscribers domiciled in France or Belgium are referred to as “FR/BE Subscribers”.
- Users: any adult natural person using CREATIVES’ TOOL, including Subscribers.
Article 2 Purpose and scope
These ToU are intended to define the conditions for browsing CREATIVES’ TOOL.
These ToU are enforceable against the User who acknowledges having read and accepted them by the mere fact of using CREATIVES’ TOOL.
These ToU are enforceable against the Subscriber who acknowledges having read and expressly accepted them without reservation by ticking the checkbox provided for this purpose when creating an Account.
The ToU may be updated at any time. Any modifications shall become applicable upon publication; Users are therefore advised to review them regularly. Continued use of CREATIVES’ TOOL after such modifications constitutes acceptance of the updated ToU.
If any provisions of these ToU are or become ineffective in whole or in part, such provisions shall be deemed void without affecting the validity of the remaining provisions and shall be interpreted or replaced to achieve their intended purpose.
Article 3 Presentation
CREATIVES’ TOOL is a SaaS platform intended for professionals in the visual creative industries (including visual arts, design, photography, video, styling, content creation, digital). CREATIVES’ TOOL enables the creation, management and issuance of quotes and invoices in compliance with applicable electronic invoicing regulations in countries where such regulations apply, namely France and Belgium.
For FR/BE Subscribers subject to such electronic invoicing regulations, CREATIVES’ TOOL is interfaced through API with IOPOLE, a platform approved by the French tax authority (DGFiP) under number 0018 to provide e-invoicing and e-reporting functionalities. Article 4 Browsing on CREATIVES’ TOOL
Browsing CREATIVES’ TOOL is free, provided that the User undertakes to comply with these ToU, mandatory legal provisions, and public morals. However, access to the Services of CREATIVES’ TOOL requires the creation of an Account and the subscription to a contract with NV IMAGE, as specified in Article 5 of these ToU.
NV IMAGE implements the technical solutions at its disposal to always ensure access to CREATIVES’ TOOL. However, NV IMAGE may at any time suspend, restrict, or interrupt access to all or part of the platform in order to carry out updates, modifications to its content, or any other action deemed necessary for its proper functioning.
NV IMAGE shall not be held liable in the event of technical, IT, or compatibility issues affecting CREATIVES’ TOOL with any hardware or software used by the User.
Article 5 Becoming a subscriber
To access Services, Users must create an Account and subscribe to a contract with NV IMAGE, in order to become a Subscriber.
Users may create an Account if:
- User has not already created an Account.
- User has legal capacity to comply with these ToU.
- User intends to comply with these ToU as well as the General Terms and Conditions.

Article 6 Rules of use
6.1. When browsing CREATIVES’ TOOL, User undertakes not to:
- Use the platform for unlawful, malicious, or harmful purposes,
- Reproduce, represent, or exploit in any manner whatsoever the Protected Elements in violation of NV IMAGE’s rights, in accordance with Article 8 hereof,
- Fraudulently access CREATIVES’ TOOL,
- Commit any act likely to compromise the IT security or functioning of the platform, NV IMAGE, or associated information systems,
- More generally, commit any act contrary to mandatory legal provisions or public morals.
6.2. When using the Services of CREATIVES’ TOOL, Subscriber undertakes not to:
- Use the Services of CREATIVES’ TOOL for unlawful purposes, purposes contrary to public policy or public morals, or in breach of the GTC or these ToU,
- Create, transmit, or store through CREATIVES’ TOOL any non-professional data and, more generally, any data that is unlawful, fraudulent, obscene, defamatory, or infringing the rights of third parties,
- Infringe, in any manner whatsoever, the rights or interests of NV IMAGE or any third party, including in particular its own clients,
- Use another Subscriber’s Account or to falsely present itself as another Subscriber.
Article 7 Liability
7.1. User
Each User shall be liable for the consequences resulting from their use of CREATIVES’ TOOL.
7.2. NV IMAGE
NV IMAGE is bound by a best-efforts obligation and therefore undertakes to implement all reasonable means to ensure the successful availability of CREATIVES’ TOOL.
However, NV IMAGE does not guarantee the accuracy, completeness, exhaustiveness and/or the update of all content (including, but not limited to, photos, videos, texts, pricing indicators and statistics, etc.) accessible on CREATIVES’ TOOL.
Furthermore, where hyperlinks directing Users to third-party websites are present on CREATIVES’ TOOL, regardless of the technique used, NV IMAGE shall not be held liable for the functioning or availability of the content of such third-party websites.
Finally, NV IMAGE shall not be held liable for:
- Acts committed by third parties over whom NV IMAGE has no control, or acts directly attributable to the User,
- Acts/damage suffered by the User caused by force majeure or events beyond NV IMAGE’s control,
- Acts resulting in indirect or unforeseeable damage to the User,
- Material damage or technical and IT failures related to browsing or use of CREATIVES’ TOOL.
Article 8 Intellectual property
All elements accessible on CREATIVES’ TOOL, including but not limited to interfaces, graphics, texts, information, videos, images, trademarks, logos, signs, domain names, databases, source code, algorithms used to provide pricing indicators and statistics, and more generally any material or intangible elements appearing on or composing CREATIVES’ TOOL (the “Protected Elements”), are protected by intellectual property rights and are the exclusive property of NV IMAGE.
The User is therefore prohibited, without the prior express consent of NV IMAGE, and subject to civil and criminal penalties, from:
- Reproducing or having reproduced the Protected Elements, in whole or in part, whether temporarily or permanently, by any means, on any medium, in any format, by any process, whether known or unknown to date,
- Representing or having represented the Protected Elements, in whole or in part, entirely or in extract, in any way whatsoever, by any process, any method of distribution or communication, whether known or unknown to date,
- Adapting or having adapted the Protected Elements, in whole or in part, whether temporarily or permanently, including but not limited to translating the Protected Elements into any language, creating any derivative works, producing new versions or developments based on the Protected Elements, maintaining, modifying, arranging, assembling or digitizing all or part of the Protected Elements,
- Decompiling or disassembling CREATIVES’ TOOL, creating derivative works based on CREATIVES’ TOOL, or attempting to discover or reconstruct the source code, the underlying ideas, algorithms, file formats or programming or interoperability interfaces, by any means whatsoever, except to the extent permitted under Article L.122-6-1 of the French Intellectual Property Code.
This prohibition shall apply without geographical limitation, for the entire duration of protection granted under intellectual property law, and for all forms of exploitation, whether free of charge or for consideration.
Article 9 Opt out to text and data mining
NV IMAGE expressly objects to any text and data mining and web scraping operations within the meaning of Article L.122-5-3 of the French Intellectual Property Code. This objection applies to all content available on CREATIVES’ TOOL, including the Protected Elements.
Accordingly, any text and data mining or web scraping operations targeting the content of the platform, including through automated data collection tools, shall constitute acts of infringement, unless prior written authorization has been obtained from NV IMAGE.
Pursuant to Article R.122-28 of the French Intellectual Property Code, which provides that the objection referred to in paragraph III of Article L.122-5-3 may be expressed by any means, including through the terms and conditions of use of a website, the absence of metadata associated with the website, its directories or its content shall not affect the validity or enforceability of the objection expressed in these ToU.
Article 10 Personal data
As the owner of CREATIVES’ TOOL, NV IMAGE places particular importance on the protection of Users’ privacy and personal data.
In this respect, NV IMAGE undertakes to process such personal data in compliance with French Law N°78-17 of 6 January 1978 relating to Information Technology, Data Files and Civil Liberties, as well as EU General Data Protection Regulation No. 2016/679 of 27 April 2016.

Article 11 Force majeure
Any circumstances beyond the control of the Parties preventing the performance of their obligations under normal conditions shall be considered as grounds for exemption from liability for each Party and shall result in the suspension of their obligations.
The Party invoking such circumstances must immediately notify the other Party of their occurrence, as well as of their cessation.
All facts or circumstances that are irresistible, external to the Parties, unforeseeable, unavoidable, independent of the Parties’ will, and which cannot be prevented by them despite all reasonably possible efforts, shall be considered as events of force majeure. The following are expressly considered, in particular, as events of force majeure: blockage of means of transport or supply, earthquakes, fires, storms, floods, lightning strikes, disruption of telecommunications networks or difficulties specific to telecommunications networks external to the Parties, fire in a data center, and pandemics.
In the first instance, the force majeure event shall suspend the performance of the ToU.
If the force majeure event lasts for more than sixty (60) days, the ToU may be terminated automatically, without any judicial formality, by either Party by written notice to the other Party.
Article 12 Governing law & disputes
These ToU shall be governed by French law.
Any dispute arising from the formation, interpretation or performance of the ToU, for any reason whatsoever, shall first be subject to an attempt at conciliation between the Parties.
Failing such conciliation, any dispute between the Parties arising from the formation, interpretation, performance, termination or expiration of these Terms shall be brought before the competent courts within the jurisdiction of the Paris Court of Appeal. However, any User qualifying as a consumer within the meaning of French consumer law shall remain entitled to bring proceedings before the courts of their place of residence.
